1. Research use only
All products sold by Comp Labs USA ("Comp Labs") are chemical reference materials intended exclusively for in-vitro laboratory research and analytical experimentation. No product is a drug, food, cosmetic, dietary supplement or medical device. No product has been approved by the FDA or any other regulatory body for human or veterinary use. Products are not for human consumption, injection, ingestion, topical application, or use in or on any living organism.
2. Buyer eligibility
By creating an account and placing an order, you represent and warrant that you are at least 21 years of age, that you are a qualified researcher or acting on behalf of a licensed research organization, that you possess the training, facilities and equipment necessary to safely handle research chemicals, and that all information you provide is accurate.
3. Assumption of risk
You accept and assume all risk associated with the purchase, receipt, storage, handling, transfer, use and disposal of any product purchased from Comp Labs. You acknowledge that these materials may be hazardous and that their properties and effects are not fully characterized.
4. Buyer responsibility and compliance
You are solely responsible for complying with all federal, state, local and international laws and regulations applicable to your purchase, possession and use of the products, including import, export, licensing and permitting requirements. You agree not to resell, relabel, redistribute or otherwise transfer any product for human or veterinary use.
5. No warranties
Products are supplied "as is" and "with all faults." To the fullest extent permitted by law, Comp Labs disclaims all warranties, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, non-infringement, or accuracy of analytical data. Certificates of analysis describe the tested lot only.
6. Limitation of liability
To the fullest extent permitted by law, Comp Labs and its owners, officers, employees and suppliers shall not be liable for any direct, indirect, incidental, special, consequential, exemplary or punitive damages, personal injury, death, property damage, lost profits, or any other loss arising out of or related to the purchase or use of any product, regardless of the legal theory asserted. In all cases, Comp Labs' total aggregate liability is limited to the purchase price actually paid for the specific product giving rise to the claim.
7. Indemnification
You agree to indemnify, defend and hold harmless Comp Labs and its owners, officers, employees, agents and suppliers from and against any and all claims, demands, lawsuits, damages, liabilities, fines, penalties, costs and expenses (including reasonable attorneys' fees) arising from or relating to your purchase, handling, use, misuse, storage, transfer or disposal of any product, or your breach of these terms or of any applicable law.
8. Ordering, pricing and payment
Orders placed through this site are requests for purchase. Comp Labs may accept, modify, limit or decline any order at its sole discretion. An invoice is issued after the order is reviewed; orders ship after payment clears. Prices and availability may change without notice.
9. Shipping, returns and refunds
Title and risk of loss pass to you upon delivery to the carrier. Because these materials are sensitive and cannot be resold once dispatched, all sales are final. Shipping errors or damage in transit must be reported in writing to complabssupport@gmail.com within 72 hours of delivery.
10. Account termination
Comp Labs may suspend or terminate any account, with or without notice, if we believe the account holder has provided false information, violated these terms, or intends to use products in a prohibited manner.
11. Governing law
These terms are governed by the laws of the State in which Comp Labs is organized, without regard to conflict-of-law principles. Any dispute shall be resolved exclusively in the state or federal courts located in that state, and you consent to their jurisdiction.
12. Entire agreement
These terms constitute the entire agreement between you and Comp Labs regarding the products and supersede any prior understanding. If any provision is held unenforceable, the remaining provisions remain in full force.
